1. Information about the service provider

The Nimboo SalesKit platform (hereinafter, "the Platform") is operated by NIMBOO VISUAL INTERNATIONAL S.A.S. DE C.V., a Sociedad por Acciones Simplificada de Capital Variable (simplified variable-capital stock company) incorporated under the laws of the United Mexican States, with Federal Taxpayer Registry (RFC) number NVI231205TN1 and tax domicile in Benito Juárez, Quintana Roo, Mexico, doing business under the name Nimboo (hereinafter, "Nimboo" or "We").

For any legal matter related to these Terms, the contact is legal@nimboo.com.mx.

2. Business nature of the service (B2B)

Nimboo SalesKit is a business software tool (SaaS) intended exclusively for the professional and commercial use of real estate developers, sales agencies and brokers. By registering and contracting, the Client represents and acknowledges that it acquires the Platform for the conduct of its business or professional activity, in its capacity as a merchant, and not as an end consumer for personal, family or household purposes.

Accordingly, the relationship between Nimboo and the Client is a business-to-business (B2B) relationship and is governed by the applicable commercial and civil legislation, in accordance with the express will of the parties.

3. Acceptance of the Terms

By registering for, contracting or using the Platform, the User states that they have read, understood and accepted in their entirety these Terms and Conditions (hereinafter, "Terms"), as well as the Privacy Notice, the Refund Policy, the Cookie Policy and the Personal Data Processing Agreement, all available at saleskit.nimboo.com.mx/legal.

In particular, the Client acknowledges having read and accepted, before making any payment, the Refund Policy, including that membership fees are non-refundable on the terms described therein.

If the User does not agree with any of these Terms, they must refrain from using the Platform.

4. Definitions

  • User or Client: the individual or legal entity that contracts the Platform and is identified as Master Broker (MB).
  • Broker or Advisor: a person invited by the Client to use the Platform with limited permissions.
  • Platform: the Nimboo SalesKit software accessible through saleskit.nimboo.com.mx and its subdomains.
  • Subscription or Membership: the periodic contract (monthly or annual) that grants access to the service.
  • Implementation: the one-time initial charge for the manual service of setting up the Client's project on the Platform.
  • Development: the real estate project that the Client requests, pays for and loads onto the Platform. The Platform is structured by developments.

5. Description of the service

Nimboo SalesKit is a SaaS (Software as a Service) platform designed for real estate developers in Mexico. It provides tools to centralize and present commercial information about real estate developments, including masterplans, unit types, prices, renders, virtual tours and amenities. Depending on the plan contracted, it may include an availability simulator, a quote builder and lead management.

The Platform is offered "as is" and does not include visual content production services (renders, videos, virtual tours, photographs). The Client is responsible for providing such content.

6. Plans and prices

6.1 Available plans

The current plans and their prices are published at saleskit.nimboo.com.mx/precios. Prices include VAT (IVA) where applicable. The Platform currently offers three plans:

  • Essential: digital sales catalog; interactive presentation of the development (base SalesKit).
  • Professional: includes Essential + availability simulator, automatic quote builder and team metrics.
  • Select: includes Professional + CRM with lead assignment, pipeline per broker, global analytics and lead capture from campaigns.

6.2 Per-development model

Contracting is structured by developments. The Client requests one or more developments (defined by name, type and number of units), pays the corresponding Implementation, and Nimboo sets up each development. Each plan includes a set number of developments; additional developments exceeding that number may result in adjustments to the membership fee.

6.3 Implementation

The Implementation charge is a one-time charge and corresponds to a manual setup service. It is non-refundable except as provided in the Refund Policy, and is paid before the membership begins.

6.4 Start of the membership

The membership is activated when Nimboo, after completing the setup of the Client's first development, activates it in the administrative panel. From that moment the first membership charge is made and the recurring billing cycle begins, anchored to the activation date.

6.5 Monthly and annual membership

The Client may choose a monthly or annual cycle. The annual cycle grants a discount of approximately 17% over the monthly equivalent, in consideration for the commitment to a year of use.

6.6 Additional advisors

All plans include unlimited advisors. Adding advisors to the team has no additional cost and does not generate membership charges.

6.7 Plan changes

The Client may change plan or cycle at any time from its billing portal. All changes are prorated automatically and charged immediately. Modifications are subject to the Refund Policy.

6.8 Price changes

Nimboo reserves the right to change prices. Any change will be notified to the Client by email at least 30 calendar days in advance. If the Client does not accept the new prices, it may cancel its subscription without penalty before they take effect.

7. Payment and invoicing

7.1 Payment processor

Payments are processed through Stripe Payments Mexico S de RL de CV, a specialized platform that complies with PCI-DSS standards. Nimboo does not store complete credit or debit card data on its servers.

7.2 Payment methods

Visa and Mastercard credit and debit cards issued in Mexico are accepted. The Client represents that it is authorized to use the payment method it registers.

7.3 CFDI invoicing

Clients who require an electronic invoice (Comprobante Fiscal Digital por Internet, CFDI) must provide their complete tax information during the contracting process. Invoices will be issued within the applicable legal deadlines.

Clients who do not require an invoice may select invoicing to "Público en General" (general public; generic RFC XAXX010101000), which is legally valid under the provisions of the SAT (Servicio de Administración Tributaria, the Mexican Tax Administration Service).

7.4 Recurring charges

The Client expressly authorizes Nimboo and Stripe to make the recurring charges corresponding to its subscription to the registered payment method, on the dates established according to the contracted cycle, until the Client cancels the renewal.

7.5 Non-payment

If a charge is declined, the subscription will enter "Payment Pending" status (past_due) and Stripe will make automatic retries for a period of up to 5 calendar days, during which the Client keeps access to the Platform and is notified by email of the deadline. If after that period the charge is not completed, the subscription will be suspended and access to the Platform will be restricted until payment is brought up to date. The Client's content will be retained in accordance with the Refund Policy.

8. Refund Policy

The specific refund provisions are set out in the Refund Policy, an integral part of these Terms. In summary:

  • Monthly membership: non-refundable. The Client retains access until the end of the paid month and is not charged for the next one.
  • Annual membership: non-refundable. The Client retains access until the end of the paid year; the remaining period is not refunded.
  • Implementation: refundable with a 25% retention only if requested before setup begins; non-refundable once setup has begun; full refund if Nimboo does not complete it within 30 days for reasons attributable to Nimboo.
  • Credit balance: credit applicable to future invoices, not convertible into cash.

For full details see saleskit.nimboo.com.mx/legal/reembolsos.

9. Cancellation

The Client may cancel its subscription at any time from the billing portal. Cancellation takes effect at the end of the paid period, with the Client retaining access until that date, without any refund of the current period.

Nimboo reserves the right to cancel or suspend the account of a Client that violates these Terms, with prior notice whenever possible.

10. Intellectual property

10.1 Nimboo's

All software, code, designs, trademarks, logos, interfaces and any element of the Platform are the exclusive property of NIMBOO VISUAL INTERNATIONAL S.A.S. DE C.V., or are used under license. Their use is protected by Mexican and international intellectual property laws.

  • Using the Platform to create competing products

10.2 The Client's

The Client retains all rights over the content it uploads to the Platform (images, floor plans, renders, texts, commercial data). The Client grants Nimboo a limited, non-exclusive, worldwide license to host, process and display such content solely for the purpose of providing the contracted service.

The Client represents that it holds sufficient rights over all the content it uploads and releases Nimboo from any liability arising from third-party claims regarding such content.

11. Acceptable use

The Client undertakes not to use the Platform to:

  • Engage in illegal activities or activities that violate Mexican law
  • Upload content that infringes third-party rights (copyright, trademark, image)
  • Upload defamatory, obscene or discriminatory content, or content that incites violence
  • Attempt to access other users' accounts or data without authorization
  • Carry out activities that may damage, overload or interfere with the Platform's infrastructure
  • Use bots, scrapers or any automated tool to extract data without authorization
  • Share access credentials with unauthorized third parties

Non-compliance may result in the immediate suspension or cancellation of the account without refund.

12. Service availability

Nimboo will make reasonable efforts to keep the Platform available 24/7. However, uninterrupted availability is not guaranteed.

Interruptions may occur due to:

  • Scheduled maintenance (notified at least 24 hours in advance whenever possible)
  • Emergency maintenance
  • Failures of infrastructure providers (Firebase, Vercel, Stripe, etc.)
  • Acts of God or force majeure

Nimboo is not liable for losses arising from service interruptions, but may offer credits at its discretion in the event of prolonged interruptions that reasonably exceed what is expected.

13. Limitation of liability

To the maximum extent permitted by Mexican law:

  • Nimboo is not liable for indirect, incidental or consequential damages or lost profits arising from the use of the Platform.
  • Nimboo's total liability to the Client, for any cause, is limited to the amount paid by the Client in the 12 months prior to the event giving rise to the claim.
  • Nimboo is not liable for business decisions made by the Client based on information generated or presented on the Platform.
  • Nimboo does not guarantee specific sales, conversion or commercial performance results for the Client.

14. Indemnification

The Client agrees to indemnify and hold harmless Nimboo, its legal representatives and collaborators from any claim, lawsuit or expense (including reasonable legal fees) arising from:

  • Misuse of the Platform by the Client or its advisors
  • Violation of these Terms
  • Violation of third-party rights by content uploaded to the Platform

15. Personal data

The processing of personal data is governed by the Privacy Notice, available at saleskit.nimboo.com.mx/legal/privacidad, and complies with the Ley Federal de Protección de Datos Personales en Posesión de los Particulares (Federal Law on the Protection of Personal Data Held by Private Parties, LFPDPPP) and its Regulations.

With respect to the personal data that the Client incorporates into the Platform —that of its prospects, buyers and team—, the Client acts as data controller and Nimboo as data processor. Nimboo's obligations as processor are set out in the Personal Data Processing Agreement, available at saleskit.nimboo.com.mx/legal/tratamiento-de-datos, which forms part of these Terms and is accepted together with them.

16. Amendments to these Terms

Nimboo may amend these Terms at any time. Amendments will be notified to the Client by email at least 30 calendar days in advance. If the Client continues to use the Platform after the effective date of the new Terms, it will be deemed to have accepted them. If it does not accept them, it may cancel its subscription without penalty.

17. Assignment

The Client may not assign or transfer its rights under these Terms without Nimboo's prior written consent. Nimboo may assign its rights to a successor in the event of a sale of the business, merger, spin-off or corporate reorganization.

18. Dispute resolution

Before initiating any judicial proceeding, the parties agree to attempt in good faith to resolve any dispute through direct dialogue. The Client is advised to seek specialized legal counsel before initiating contentious proceedings.

19. Jurisdiction and governing law

These Terms are governed by the laws in force in the United Mexican States.

For the interpretation, performance and enforcement of these Terms, the parties expressly submit to the jurisdiction of the competent courts of the city of Cancún, Quintana Roo, Mexico, waiving any other venue (fuero) that may correspond to them by reason of their present or future domiciles.

20. Final provisions

20.1 Severability

If any clause of these Terms is declared invalid or unenforceable by a competent authority, the remaining clauses will remain in full force and effect.

20.2 Waiver

Nimboo's failure to demand compliance with any provision of these Terms does not constitute a waiver of the right to demand it in the future.

20.3 Entire agreement

These Terms, together with the Privacy Notice, the Refund Policy, the Cookie Policy and the Personal Data Processing Agreement, constitute the entire agreement between the parties regarding the use of the Platform.

20.4 Notices

Any notice to the Client will be sent to the email address registered in its account. Any notice to Nimboo will be sent to legal@nimboo.com.mx.
